Credit Policy

Effective May 15th 2024

These Celedon Solutions Inc. (“Celedon”) Credit Policy Terms (“Terms”) govern your purchase, receipt, and use of credits redeemable for our Services (“Credits”). Capitalized terms used but not defined in these Terms will have the meanings set forth in the agreement between you and Celedon governing your use of the applicable Services (the “Agreement”). For the purposes of these Terms, “Davinci” refers to the software service, “Generated Content” refers to the data generated from Davinci, and “User Content” refers to the information provided to Davinci by the user.

Credits are required to access the following services provided by Davinci:

• Creation of Generated Content: Credits are consumed when Davinci generates content based on User Content provided to Davinci.
• Answering Questions: Credits are consumed when Davinci answers questions based on User Content provided to Davinci.
• Additional Services: Credits may also be required for other services and features offered by Davinci, which will be specified at the time of use or in related service descriptions.

Celedon offers subscription-based Service Credits. Each subscription plan includes a base amount of Credits that will automatically replenish to the maximum amount at the start of each subscription period. The base amount of Service Credits is determined by your chosen subscription plan and is specified at the time of subscription purchase.

Replenishment. The base amount of Service Credits replenishes automatically at the beginning of each subscription period.

In addition to the base Service Credits included in your subscription, you have the option to purchase additional Service Credits as needed. These additional Credits do not impact the base replenish amount and will only be used after the base amount of Service Credits has been exhausted.

Usage. Additional Service Credits will be used only after the base amount is depleted.

Non-Transferability. Service Credits are non-transferable and may be used only in connection with the applicable Services offered by Celedon.

Balance Review. Your available Service Credit balance can be viewed in Davinci. You are solely responsible for verifying that the proper amount of Service Credits has been added to or deducted from your balance.

Base Service Credits. Credits included in your subscription will expire at the end of each subscription period if not used.

Additional Service Credits. Credits purchased separately will expire one year after the end of your subscription period, unless otherwise specified at the time of purchase.

Subscriptions will automatically renew at the interval specified at the time of subscription purchase.

Cancellation. To cancel the automatic renewal, follow the instructions provided in your subscription email, or use the link provided in Davinci. If you have any questions or require assistance, contact us at support@celedonsolutions.com.

All sales of Services, including the sale of Service Credits, are final and non-refundable. Celedon prohibits and does not recognize any purported transfers, sales, gifts, or trades of Service Credits.

Service Credits are not equivalent to or exchangeable for legal tender. Service Credits have no cash value and cannot be redeemed for monetary compensation or any form of financial credit. They are solely intended for use within the scope of the applicable Services provided by Celedon. Attempts to convert Service Credits to cash or any other form of exchange outside of Celedon's Services are strictly prohibited and will result in the forfeiture of such Credits and potential suspension or termination of your account.

Celedon reserves the right to modify these Terms at any time. Any changes will be communicated by posting a revised version on our website or by emailing the email associated with your account. The modified Terms will become effective upon posting or as stated in the email message.

Celedon reserves the right to suspend or terminate your use of the Services, including suspending or terminating your Service Credit balance, in accordance with the Agreement and applicable laws.

Compliance. Suspension or termination will be carried out in compliance with the Agreement and relevant legal requirements.

By purchasing, receiving, or using any Service Credits from Celedon, you agree to be bound by these Credit Policy Terms and the Agreement governing your use of the applicable Services. If you have any questions or require assistance, please contact us at legal@celedonsolutions.com.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable. Celedon's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
